Yellow Sparks Bidding War to Replace Apollo-Led Bankruptcy Loan (yahoo.com)

Hedge fund MFN Partners — Yellow’s biggest shareholder — and competitor Estes Express Lines have both offered to fund the company’s bankruptcy on better terms, according to Nash.

Nash said Estes has offered to extend Yellow $230 million, more money than the $142.5 million Apollo has offered, at a better rate. Estes’ proposed loan would carry a 2% lower interest rate than the 17% interest offered by Apollo and the other lenders and carries a lower fee, Nash said.

Is this a backdoor takeover attempt by Estes?

Estes is a financial viable carrier that is always looking to expand.

With this timing they can absorb the equipment and properties formerly administrated by yellow.

They can expand the current operations and use the yellow properties and equipment to rapidly make more territory viable to thir business model.

They can then sell off equipment and locations that do not fit their adjusted business plan. That could include moving a couple of terminals into former yellow terminals. Then sell off the old Estes location.

Main thing is they do this without taking over the union employees. Also can lay-off, package out, or fire existing management with minimal fuss and expense.
