Buying a truck is a big step, esp with the economy the way it is, unless you have some serious money saved up for breakdowns and repairs, etc.
Companies are dictated to by the insurance companies and that is why if you have been off the road for that period of time, no one will even look at you, unless you know a good buddy or a company which really doesn't care about the baloney being spread around.
Stay away from bottom feeder companies if you can, if you do decide to stay a company driver, there are some that are better than others. The refresher course most likely would not involve as much time as someone who has no cdl at all. Get your feet back in the door and go from there.

2) I would call the contract person back, have them talk to their legal department about a termination letter to close the deal or offer some other alternative to it. Seeing they didn't have a clue what to do, it seems that the company needs to have someone clean house and write up some procedures on how to handle these issues legally and for the benefit of all.
