Sole Proprietor vs LLC vs S-Corp

    I agree but you can use a service like CorpNet.com. They are fast and inexpensive plus they have lawyers who have been doing it for years.

    Sounds like I need to be on the hunt for a better CPA. I've talked to one and he suggests DBA. I don't know if it's easier on his end to do taxes or whatever, but I really don't think DBA is what I need to become an owner operator. I think for a small business in an office type setting it would be fine, but being on the road every day presents a huge liability in my eyes, and one that needs to be addressed before I become an owner operator. I also don't really want to pay an attorney for advice, or to do something that I can easily do myself. I will be the only "employee" of my company, one truck, one trailer, one driver(me). I'm looking for something simple and easy to manage yearly, will save money on taxes, won't cost a fortune in nickel and diming me on several different taxes or other fees, yet provides some form of protection against liabilities. Would this be an LLC since it has pass through taxation? And once I formed an LLC, couldn't I elect for S-Corp taxation later for added tax benefits? I'm just starting out and am wanting to get off on the right foot and don't want to have the wrong foundation for my company and have to start another company from scratch later to get the proper foundation.     my advice was to "over see" not start. And I stand by my advice to have an accountant to over see any business. Can't imagine handling any of my business without them... It allows me more time to generate revenue instead of worrying about tedious ppwk.

    I'm pretty sure I read on another site(non trucking related) that an LLC could elect to be taxed as an S-Corp. This is the reasoning behind my question. I'll try to dig it up and cite the source.

    S-corp Must have a payroll system like ADP, LLC does not need to have a payroll in place. In Illinois, Department of revenue, is going after all LLCs, checking for hidden Tax's, Illinois is a poor state, Three of my accountants trucking companies were audited by the state all three of them were LLC. Something to do with the 1099s if I remember right.

    Couldn't I just cut myself a check each week with an LLC? Or do I receive all the companies profits/losses as an individual?

    I believe you can, but I'm not sure. ( You might have to ask accountant ) I'm been an s-corp. 18 years

    May I ask why you went the S-Corp route? What benefits does that provide you as an owner operator? And do you have any other employees? It'll just be me. My wife has a great job, but she's going to help with getting loads while I'm driving. Thanks for the help!

    You are not required to use a payroll service when you are an S corp. The IRS does like to see at lease some profits going toward salaries, even if you are the only one who is receiving a check. You can sit down and write yourself a check, direct deposit or however you wish to handle it.

    Any Owner/Operator specific corp setup sites out there. Seems like if there were it would be better
    because they would better tailor the setup for trucking.
