Anyone familiar with LLC and/or Partnerships

    Good question.

    Where is the operating headquarters going to be for the incorporation?

    Will your papers reflect an operating location different from the incorporation location?

    If it does reflect a different location, then I would say no.

    If you are having an attorney do this, maybe they can provide some insight.

    in 85 I was incorporated in delaware but the tax,title, lic'ing, everything was in Utah.

    Read DE. LLC rules and then an application. It will refer you to a website on DE which then revfers you do Co.s you can name as the rep in DE for your LLC, Cost is usually under $200.00. the lawyers don't need a huge ammount because all they are is an oofice you name to accept registered mail in DE for you and to fwd. it to you basically guaranteeing the state you will get any communication they send.

    I'm not a trucker and I don't know your business, however I can tell you that you can save a great deal on employment taxes by doing an s-corp versus an LLC. S-Corp are a little more paper work. With an S-Corp you do not have to pay employment taxes(15.3%) on profit.

    I am a member of a patnership(LLC) which I receive a K-1 at the end of the year and I have to pay employment taxes and I also have an S-corp that I give myself a modest salary and I take disbursments on the profits(no employment taxes).

    Captialization is also more friendly with an S-corp.
