FOR VALUE RECEIVED, the undersigned hereby jointly and severally promise to pay to the order of____________________, the sum

AGREEMENT BETWEEN SHIPPER AND CARRIER
This agreement is hereby made and entered into this _____ day of
__________, 20___, by and between __________, hereafter called Shipper, and
__________ hereafter called Carrier. This contract shall be considered valid and legally binding upon both parties for one year. Either party has the right to terminate this contract by submitting a statement of intent to terminate this or any other contract in writing 60 days from the purposed date of termination delivered in writing by registered mail to the other party.
The said parties, for the considerations hereinafter mentioned, hereby agree to the following:
1. The Carrier agrees to provide all of the necessary equipment and personnel required to perform the following transportation services for the Shipper: [Describe services required). The Carrier agrees to comply with the shippers written requirements for these services provided that they are submitted to the Carrier in a timely manner so that the time constraints can be legally met in accordance with FMCSA regulations. All requests for services will be compliance with all of the FMCSA regulations, have been, and are identified by the signatures of the parties to this agreement and which form a part of this agreement.
2. The Shipper hereby agrees to pay the Carrier, in accordance with the FMCSA regulations unless other wise agreed upon in this contract for the aforesaid use of equipment and personnel, the sum of __________, per: ________ in the following manner:

3. The Carrier agrees that the above-described transportation services shall be completed as released by the shipper within the dates that both parties agree upon, provided that they can be met in a legal manner and within the FMCSA regulations: [Insert shipper requirements].
The above transportation services shall be completed no later than the_____ day(s) after the Carrier receives the information in regards to the pickup and delivery dates of the commodities. Excluding all state and federal holidays that would prevent the Carrier from making the aforementioned delivery.
4. The Carrier shall employ sufficient number of personnel that are qualified under all the sections of the FMCSA regulations.
5. All changes and deviations of loads previously released by the Shipper must be in writing, the contract sum being increased or decreased accordingly by the Carrier. Any claims for increases in the cost of transportation must be presented by the Carrier to the Shipper in writing, and written approval of the Shipper shall be obtained by the Carrier before proceeding with the ordered change or revision.
6. The Carrier agrees to maintain cargo insurance in an amount that will provide adequate coverage or fair market value should there be a claim of damages on the above-described loads during the progress of the work, in his own name and that of the Shipper as an additional insured on the Carriers insurance policy..
7. In the event the Carrier is delayed in the delivery of any assigned loads by acts of: equipment failure that is not directly contributable to the Carrier, such as: Acts of nature, God, fire, flood or any other unavoidable casualties; or by labor strikes, late delivery of notification of a load or loads; or by neglect of the Shipper; the time for completion of the work shall be extended for the same period as the delay occasioned by any of the aforementioned causes with no penalty to the Carrier.
8. In the event that a load is delayed due to the gross negligence of the Carrier or the Carriers personnel, the Carrier agrees to pay the cost of re-powering the load and any subsequent charges and fines that the Shipper is subject to by a written legal contract.
9. The Carrier agrees to obtain insurance to protect himself against claims for property damage, bodily injury, or death due to his or his legal agents, or personnel performance of this agreement.
10. This agreement shall be interpreted under laws of the State of__________.
11. Attorney's fees and court costs shall be paid by the defendant in the event that judgment must be, and is, obtained to enforce this agreement or any breach thereof.

This is just an example, keep it short and to the point. They want to read the Proposal not a bunch of rhetoric (did I say that) You might point out a couple of things that the contract says that is to THEIR advantage so they really read the whole thing. Short sweet and simple is best unless they want you to suck up. Keep the spacing and tabs consitant and even DO NOT bold, underline or other wise make anything blare at them. It's considered rude in business.
