You are correct. Except Walmart did not sign a contract agreeing not to solicit these customers in exchange for these businesses selling Walmart products. The key word is solicit. It’s unethical for YOU to approach them.

Now if the other party breaches the contract first, then the contract is null and void.

If you were to read and agree to everything what's there and literally honor every thing they have you sign for, you would not haul for anyone. Things they want you to agree with are insane. Those things themselves attest to how "solid" their ethics are to begin with. But you sign it and accept it regardless. Because everyone else does. Otherwise, you won't haul anything. I've seen and experienced first hand enough to know that my being unethical about backsoliciting is no match on the morality scale to what they do on their end. You want to be ethically pronounced in dealing with the freight market brokers? Might as well quit. It won't work. That's reality. Not some business ethics theory group.

 

Buddy, I’ve had my own numbers for 17 years. So your weak argument doesn’t fly with me. Honoring your word is all a man really has in life. Even when it’s inconvenient and uncomfortable. But if you can’t honor your word on something as small as this you won’t honor your word in any situation.

I think it has more of an effect on actual brokers and agents. Most big brokerages (Tql and chr) have their employees sign non compete agreements. That is totally unfair. The carrier is signing a back solicitation clause. Which is fair.

 

I don't see it as a matter of honor not to compete for business based on some broker agreement obscure paragraph that may or may not be there. And they have you sign it without any recourse. Besides, the clause about not solicitation lacks ethics in itself. It's an unethical idea to begin with.

Those brokers I knew well personally and with whom the game was fair and square, I would do no harm. As I said, it is not always black and white.
